Assistant Legal Manager Cum Company Secretary
Job Purpose
Provide legal expertise and corporate governance support to BRAC Tanzania Finance LTD by offering legal advice on the interpretation and application of laws, managing litigation and legal claims, drafting and reviewing contracts and other legal instruments, ensuring compliance with statutory and regulatory requirements, and delivering Company Secretary services, including Board support, statutory filings, and maintenance of corporate records.
Key Responsibilities
- File annual returns of BRAC Tanzania Finance LTD with BRELA, including directors' reports, auditors' reports (where applicable), and financial statements containing details of the company's assets and liabilities.
- Arrange meetings of directors and shareholders, including issuing meeting notices, preparing agendas, circulating relevant documents, recording proceedings, and preparing meeting minutes.
- Notify BRELA of significant changes in the company's structure or management, including appointments and resignations of directors.
- Maintain the company's registered office as the official address for formal communications and ensure company stationery, website, emails, order forms, and invoices display the required statutory information.
- Ensure the security and proper custody of the company's legal documents, including the Certificate of Incorporation and Memorandum and Articles of Association.
- Develop and implement policies for document filing and retention.
- Advise directors on their legal duties and ensure compliance with applicable corporate legislation and the company's Articles of Association.
- Assist the Company Secretary cum Legal Manager in providing legal advice and support to Management and staff.
- Monitor, review, and promote compliance with government laws and regulatory requirements.
- Coordinate and oversee legal activities across field offices and represent BRAC Tanzania Finance LTD in courts and quasi-judicial bodies where delegated.
- Draft, review, and manage legal documentation required by BRAC entities in Tanzania.
- Conduct staff training on labour laws and other relevant legislation as required.
- Participate in reviewing and updating BRAC Tanzania Finance LTD policies and procedures.
- Prepare periodic progress reports and annual legal affairs reports.
- Perform any other duties assigned by Management.
Safeguarding Responsibilities
- Promote a safeguarding culture across all levels of the organization by implementing safeguarding policies and providing expert guidance to create a safe working environment.
- Ensure team members receive appropriate safeguarding training, support, and resources, and that identified safeguarding issues are addressed in accordance with organizational policies.
- Follow safeguarding reporting procedures whenever reportable incidents occur and encourage others to do the same.
Required Qualifications and Experience
- Bachelor's Degree in Law (LL.B); a Master's Degree is an added advantage.
- Registered Advocate.
- Minimum of seven (7) years of legal practice experience.
- Knowledge of Industrial Relations.
- Strong negotiation skills.
- Knowledge of Company Secretary roles and responsibilities.
- Strong analytical and problem-solving skills.
- Demonstrated experience in mediation and arbitration.
- Excellent planning and organizational skills with the ability to meet deadlines.
- Demonstrated mature judgment.
- Excellent written and verbal communication skills in English.
- Ability to manage diversity in the workplace.
- Computer proficiency in MS Word, Excel, and PowerPoint.

Financial Controller
Position Summary
We are seeking an exceptional Financial Controller to serve as the guardian of financial integrity and the second line of defense within Tanzania's controllership function. The successful candidate will oversee the entire financial control environment across a complex, decentralized operation utilizing the Temenos T24 Core Banking System, ensuring financial information is accurate, auditable, and supports informed decision-making.
Key Responsibilities
- Lead the financial close process and ensure timely, accurate, and audit-ready financial reporting.
- Maintain strong financial controls, data integrity, and governance frameworks across the organization.
- Conduct financial performance analysis, variance reviews, and provide actionable management insights.
- Strengthen fraud prevention mechanisms, monitor financial risks, and implement corrective actions.
- Prepare and submit financial reports to management, the Board, regulators, lenders, and other stakeholders.
- Oversee financial governance of procurement and contracting processes.
- Ensure compliance with procurement policies, approval frameworks, and value-for-money principles.
- Strengthen controls over organizational expenditure and vendor management.
- Lead annual budgeting, forecasting, and financial planning processes.
- Monitor organizational performance against budgets and strategic objectives.
- Provide scenario analysis and financial recommendations to support strategic decision-making and capital management.
- Ensure compliance with tax, VAT, statutory, regulatory, and financial reporting requirements.
- Manage relationships with auditors, tax advisors, regulators, development partners, rating agencies, and other stakeholders.

Qualifications and Experience
- Minimum of 10 years' experience in finance or controllership, including at least five (5) years as Financial Controller, Deputy Financial Controller, or Head of Controls in a large bank, Microfinance Institution (MFI), or Non-Bank Financial Institution (NBFI) managing a portfolio exceeding TZS 150 billion.
- Demonstrated experience with Core Banking Systems, IFRS 9, Bank of Tanzania regulations, and TRA compliance.
- Advanced proficiency in Microsoft Excel, Power BI, and SQL; knowledge of RPA or Python is an added advantage.
- CPA (T), ACCA, ACA, or equivalent professional accounting qualification is mandatory.
- MBA is preferred.
